Per-Lead Service Agreement

1. Service Description

Liberty Business Automation LLC ("LBA," "we," "us") provides an AI-powered virtual receptionist service ("the Service") that answers inbound phone calls on behalf of the Contractor ("you," "Contractor"), gathers caller information, and routes Qualified Leads to you by email and text message. The Service operates using a dedicated phone number and AI voice agent configured for your business.

2. Pricing

You are charged $14.00 per Qualified Lead, as defined in Section 3. There is no setup fee, no monthly minimum, and no charge for any call that does not meet the definition of a Qualified Lead. You may choose to pass this cost to your customers as part of your own pricing; that decision is entirely yours.

3. Qualified Lead — Definition

A "Qualified Lead" is an inbound call in which the caller provides both (a) a name and (b) a description of a service need, and the call is not a voicemail message.

The following are never billed:

Spam, robocalls, or sales calls
Wrong numbers
Hang-ups or calls with no usable caller information
Voicemail messages
Calls from your existing customers

4. Billing

Billing runs on a weekly cycle, Monday through Sunday, Arizona time. Each Monday, the card on file is charged for the total number of Qualified Leads delivered the prior week at $14.00 each. You will receive a call log with your invoice so you can verify the leads billed against your own records.

5. Dispute Window

You have 7 days from the date of a weekly invoice to dispute any line item on that invoice. Disputes must reference the specific call(s) in question. Undisputed charges after 7 days are considered final.

6. Failed Payment

If a weekly charge fails, we will attempt to notify you and re-charge the card on file. If payment cannot be collected, the Service will be paused (calls will no longer be answered by your agent) until payment is resolved. Service resumes automatically once payment succeeds.

7. No Guarantee of Results

LBA answers calls and delivers lead information accurately and promptly. We do not guarantee that any lead will convert into a booked job, a sale, or revenue for your business. Whether and how you price your services to account for lead cost, including whether to pass the $14 fee to your customers, is solely your business decision.

8. Contractor Responsibilities

You are responsible for providing accurate business information (services offered, service area, pricing philosophy if disclosed to the agent, etc.) needed to configure your receptionist agent, for maintaining a valid payment method on file, and for promptly following up with leads delivered to you. LBA is not responsible for lost business resulting from delayed follow-up on your end.

9. Cancellation

You may cancel the Service at any time. Cancellation stops future billing but does not waive fees already owed for Qualified Leads delivered prior to cancellation. There is no cancellation fee.

10. Data and Call Recordings

Calls handled by your agent may be recorded and transcribed to generate lead information and for quality and dispute-resolution purposes. We do not sell your data or your customers' data to third parties.

11. Limitation of Liability

LBA's total liability to you under this Agreement, for any claim arising from or related to the Service, is capped at the total fees you paid in the 30 days preceding the event giving rise to the claim. LBA is not liable for indirect, incidental, or consequential damages, including lost profits.

12. Changes to This Agreement

LBA may update this Agreement or its pricing with 14 days' written notice (email to the address on file is sufficient notice). Continued use of the Service after the notice period constitutes acceptance of the updated terms.

13. Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any disputes arising under this Agreement will be resolved in the state or federal courts located in Arizona.
